E-n offered 28 million shares of stock for sale July 3. It opened at $15 a share, but has yet to trade at more than that. Most of the companies involved in the holding company are consumer product manufacturers. Besides Waterloo Industries, which makes toolboxes and chests, the new company includes Samsonite, Culligan and Stiffel, a manufacturer of lamps. There are also four food companies including Pet Specialties, which produces pet foods and frozen foods like pizzas.

Beatrice has sold many of its holdings since a leveraged buyout took it from a publicly held company to private ownership more that a year ago. It will continue to liquidate and spin off more companies to pay off its debts incurred in the buyout. Sulentic said in his opinion the rest of the mostly food companies likely will go public. In 1985, Kelly, who had been the chairman of Esmark, along with the New York investment banking firm of Kohlberg Kravis reached an agreement to buy Beatrice. Beatrice had previously acquired Esmark.

At that time it was speculated that Kohlberg Kravis would have to sell 15 to 25 businesses to finance the sale. Harold E. Bennett ELGIN Services for Harold E. Bennett, 94, will be 11 a m. Waterloo Industries sees little change despite switch By EO AOCOCK Courier Staff Writer Little change is expected at Waterloo Industries with the recent restructuring of its parent company, according to Wallace Sulentic, the firm's president. Beatrice Foods the Chicago-based conglomerate, spun off 15 of its independent companies, switching from private ownership to publicly held status. Waterloo Industries is one of the companies that will make up the new holding company, called E-n.

Sulentic said the change will bring "no discernible difference to the operation or the employees." It employs 320 at the local plant and has operations in Sedalia, and Pocahontas, Ark. The company's top management will be affected the most, be added. "There will be a little more pressure on us," Sulentic said. a it ine prows oi me various companies are added together and because it is publicly held there will be more pressure to increase profits to maintain the price of its stock, he said.
